Terms & Conditions

SellSideBase is a Microsoft Outlook add-in application and associated website operated by Comdria Ltd, a company registered in England and Wales (“Comdria”, “we”, “us”, “our”). These Terms & Conditions govern your access to and use of the SellSideBase Service.

By registering for a trial or a paid plan, or by using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

We may offer a free trial period to allow you to evaluate the Service. During the trial, all features of the plan you selected will be available. We reserve the right to modify or end the trial offer at any time. At the end of the trial, you will need to subscribe to a paid plan to continue using the Service.

Paid plans are billed quarterly in advance. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Prices are as displayed at the time of purchase. We will give reasonable notice of any price changes before they take effect.

All fees are exclusive of applicable taxes. You are responsible for any taxes, duties or levies imposed by your jurisdiction.

You agree not to:

• Use the Service in any way that violates applicable laws or regulations, including data protection and anti-spam laws.
• Attempt to reverse-engineer, decompile, disassemble or otherwise derive the source code of the Service.
• Use the Service to send unsolicited bulk email or to harass individuals.
• Share your account credentials with any person not authorised under your plan's user limit.

All intellectual property rights in the Service — including the software, design, content and documentation — are owned by or licensed to Comdria. Nothing in these Terms grants you any right to use our intellectual property other than as permitted to use the Service in the normal way.

You retain all rights in the data you bring to the Service (buyer lists, documents, deal information). You grant us only the limited permissions necessary to provide the Service to you.

We acknowledge that deal data, buyer lists and transaction information you work with inside the Service is commercially sensitive. We will not access, use or disclose any such information except as required to provide technical support with your explicit permission, or as required by law.

The Service is provided “as is” and “as available”. We make no warranty that the Service will be uninterrupted, error-free, or free from security vulnerabilities. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

SellSideBase is a workflow tool. It does not constitute legal, financial, compliance or regulatory advice. You are responsible for ensuring your use of the Service complies with all applicable laws and regulations, including those governing the sending of deal-related communications in your jurisdiction.

To the fullest extent permitted by applicable law, Comdria's aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the fees paid by you in the three months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential or punitive damages.

You may cancel your subscription at any time. We may suspend or terminate your access to the Service if you breach these Terms, with or without notice depending on the severity of the breach. On termination, your right to use the Service ceases immediately.

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the website at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
